These terms form the agreement between you and Waypoint AI (operated by Codi Cook, Perth, Western Australia) when you use this website or engage our services. By doing so, you accept these terms.


1. Services

 

Waypoint AI builds AI agents, automations, and provides AI consulting for small and medium businesses. The specific scope, deliverables, and timeline are agreed in writing before paid work begins. Performance estimates shared during discussions are based on experience, not guarantees.


2. The Process

 
  • – Discovery: We align on goals, feasibility, and scope.
  • – Prototype Exploration (14 days): We build, test, and evaluate. If the solution doesn’t meet agreed expectations and you choose not to proceed, no further obligation applies.
  • – Deployment: Full handoff, integration, and post-launch refinement.

3. Your Responsibilities


  • – Provide accurate information to support the build.
  • – Comply with applicable laws when using any deployed solution, including the Spam Act 2003 (Cth) and Australian Consumer Law.
  • – Not use any Waypoint AI solution to deceive, mislead, or harass.

4. Fees and Payment

 

Fees are agreed before work starts and confirmed in writing. All amounts are in Australian Dollars, exclusive of GST. Payment terms will be set out in the project agreement. This section will be updated once a payment provider is formally in place.


5. Intellectual Property

 
  • – Waypoint AI’s build methodology, prompt configurations, and platform components remain our intellectual property.
  • – Your business data, documents, and customer information remain yours.
  • – Messages and responses generated by your deployed agent on your behalf are yours. You are responsible for those outputs as you would be for any communications sent under your business name.
  • – On termination, you can request an export of your data. The agent itself is not portable.

6. AI Disclaimer

 

AI systems can make mistakes. Outputs depend on the information provided and the underlying model. I monitor and resolve errors on an ongoing basis. You are responsible for flagging issues and handling any customer escalations in the interim.


7. Liability

 

To the maximum extent permitted by law, Waypoint AI’s total liability is limited to fees paid in the 12 months preceding the relevant event. Neither party is liable for indirect or consequential loss. Nothing here excludes liability that cannot be excluded under Australian Consumer Law.


8. Confidentiality

 

Both parties agree to keep each other’s non-public information confidential and use it only to deliver or receive the agreed service. This continues after the engagement ends.


9. Termination

 

Either party may end the engagement for material breach not resolved within 14 days of written notice. On termination, client data will be handled in accordance with the Privacy Policy.


10. Governing Law

 

These terms are governed by the laws of Western Australia. Both parties submit to the jurisdiction of the courts of Western Australia.


11. Changes

 

These terms may be updated as Waypoint AI evolves. Material changes will be communicated to active clients before they take effect. Continued engagement constitutes acceptance.
